CLIENT and YOUR COMPANY contemplate various communications and/or meetings which will involve the disclosure by YOUR COMPANY or its affiliates to CLIENT of certain technical, business, marketing, planning, and other information, ideas, concepts, designs, specifications, and data, in written, oral, electronic, photographic, and/or other forms, including without limitation information and data relating to the technical and/or business evaluation of the aforementioned business arrangement (collectively "Information").
Such Information shall be used by CLIENT solely for the purpose of such evaluation. Therefore, CLIENT agrees to use reasonable efforts to preserve in strict confidence any Information so disclosed, and shall advise its employees and/or agents to exercise at least the same degree of care to safeguard the confidentiality of the Information as they would exercise to safeguard their own confidential information, and further agrees not to use, disclose, or reproduce any such information without the specific written approval of YOUR COMPANY. CLIENT further agrees not to disclose the specifics of such Information to competitors of YOUR COMPANY for any purpose.
On the termination of said business arrangement, CLIENT agrees to return promptly all copies of any material received under this agreement.
