EMPLOYER AND EMPLOYEE HEREBY AGREE TO THE FOLLOWING TERMS AS THEY RELATE TO THE DISCLOSURE OF INFORMATION CONSIDERED PROPRIETARY BY THE EMPLOYER
EMPLOYEE and YOUR COMPANY contemplate various communications and/or meetings which will involve the disclosure by YOUR COMPANY or its affiliates to EMPLOYEE of certain technical, business, marketing, planning, and other information, ideas, concepts, designs, specifications, and data, in written, oral, electronic, photographic, and/or other forms, including without limitation information and data relating to the business practices and financial standing of your business (collectively "Information").
Such Information shall be used by EMPLOYEE solely in accordance with the requirements of his or her duties. Therefore, EMPLOYEE agrees to preserve in strict confidence any Information so disclosed, and further agrees not to use, disclose, or reproduce any such information without the specific written approval of YOUR COMPANY. EMPLOYEE further agrees not to disclose the specifics of such Information to competitors of YOUR COMPANY for any purpose.
